Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers .

On May 8, 2014, Susan P. Ballance resigned as Vice President, Chief Accounting Officer and Controller of EnPro Industries, Inc. (the “Company”).

On May 8, 2014, David K. Fold was appointed to serve as the Company’s principal accounting officer. Since May 31, 2002, Mr. Fold, age 51, has served the Company as the Director of Accounting and Financial Reporting. Mr. Fold is a Certified Public Accountant.
