Item 8.01 Other Events.

On May 22, 2014, Energy Transfer Equity, L.P. (the “Partnership”) issued a press release announcing the commencement of a tack-on offering of additional 5.875% Senior Notes due 2024 of the Partnership (the “additional notes”) in a private placement. Additionally, on May 22, 2014, the Partnership issued a press release announcing the pricing of the additional notes at 102% o f their principal amount, plus accrued interest from December 2, 2013.

A copy of the press release relating to launch and pricing is attached hereto as Exhibit 99.1 and Exhibit 99.2, respectively, and is incorporated herein by reference.
