Subject: Information on signing a letter of intent on the potentialinvestment in Polimex-Mostostal S.A. and filing a petition with UOKiK

In reference to Current Report no. 48/2016 of 6 December 2016, theManagement Board of ENERGA SA ("Company") hereby reports that on 27December 2016 the Company signed a letter of intent with ENEA S.A., PGES.A., PGNiG S.A. ("Investors"), and Polimex-Mostostal S.A. ("Polimex")in which the Investors expressed their intent to consider the potentialinvestment in Polimex and based on which they launched talks withPolimex to work out the detailed parameters of the transaction.

On the same date, the Company and the Investors also filed a petitionwith the Office for Competition and Consumer Protection ("UOKiK") forthe UOKiK President to approve the concentration involving acquisitionof joint control over Polimex by the Investors.
