Emerson Electric Co. shares, which change is exempt from Section 16 of the Securities Exchange Act of 1934. Shares which
were previously held in a Uniform Gifts to Minors Act account for the benefit of the reporting person's daughter were
distributed to the daughter, as required by the terms of the account, upon the daughter attaining the
age of 21. The daughter then transferred the shares to a grantor trust, for her benefit. The reporting person disclaims
beneficial ownership of these shares.
