Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On December 13, 2012, the Board of Directors of Southern California Edison Company ("SCE") elected Mark C. Clarke to serve as Vice President and Controller of SCE, effective December 17, 2012. Mr. Clarke will succeed Chris C. Dominski, who was elected on December 13, 2012 to serve as SCE Vice President of Planning and Performance Reporting, effective December 17, 2012.

Mr. Clarke will also continue to serve as Vice President and Controller of Edison International, SCE's parent company. Mr. Clarke, age 56, has been the Vice President and Controller of Edison International since August 2009 and previously held the position of Controller at Edison Mission Energy (an independent power producer) and Edison Capital from January 2003 to July 2009.
