On December 8, 2011, the Boards of Directors of Edison International and Southern California Edison Company (“SCE”) elected Peter J. Taylor to serve as a Director of Edison International and of SCE. In connection with his service, on January 12, 2012, Mr. Taylor entered into an Indemnification Agreement with Edison International in the form filed as Exhibit 10.5 to Edison International's Quarterly Report on Form 10-Q filed with the SEC on August 9, 2005 for the quarter ended June 30, 2005.
