Description	ECA INTEGRATED SOLUTION BERHAD ("ECA" OR THE "COMPANY") I. PROPOSED PRIVATE PLACEMENT; AND II. PROPOSED ESOS (COLLECTIVELY REFERRED TO AS THE "PROPOSALS")
Unless stated otherwise, the terms used herein shall carry the same meaning as those defined in the earlier announcements in relation to the Proposals. We refer to the earlier announcements dated 24 April 2026 and 13 May 2026 in relation to the Proposals. On behalf of the Board, UOBKH wishes to announce that Bursa Securities had, vide its letter dated 14 May 2026, resolved to approve the listing and quotation of up to 57,904,042 new ECA Shares ("Placement Share(s)") to be issued pursuant to the Proposed Private Placement, subject to the following conditions:- 1. ECA and UOBKH must fully comply with the relevant provisions under the ACE Market Listing Requirements ("Listing Requirements") pertaining to the implementation of the Proposed Private Placement; 2. UOBKH is required to furnish Bursa Securities with details of the placees in accordance with Rule 6.16 of the Listing Requirements as soon as practicable after each tranche of placement and before the listing of the new shares to be issued pursuant to the Proposed Private Placement; 3. In the event the Proposed Private Placement is not completed before the next annual general meeting, UOBKH is required to furnish Bursa Securities with a certified true copy of the resolution passed by the shareholders at the forthcoming annual general meeting for the authority to issue shares pursuant to the Companies Act, 2016 before the listing of the Placement Shares; 4. ECA and UOBKH are required to inform Bursa Securities upon completion of the Proposed Private Placement; and 5. ECA is required to furnish Bursa Securities with a written confirmation of its compliance with the terms and conditions of Bursa Securities' approval once the Proposed Private Placement is completed.
