Please take note that, based on recommendations of Nomination and Remuneration Committee, the Board of Directors in their meeting held today i.e February 3, 2020, approved the following matters:

• 1. Re-designating (Hony) Brig. Dr. Arvind Lal by appointing him as Executive Chairman and Whole Time Director for a period of two (2) years, commencing from April 1, 2020 from his present designation of Chairman and Managing Director of the Company.
• 1. Re-designating Dr. Om Prakash Manchanda by appointing him as Managing Director for a period of five (5) years, commencing from April 1, 2020 from his present designation of CEO & Whole-Time Director of the Company.
• 1. Re-appointment of Dr. Vandana Lal as Whole-Time Director of the Company for a period of five (5) years, commencing from April 1, 2020.
• 1. Re-designating Mr. Bharath Uppiliappan by appointing him as Chief Executive Officer (CEO) and Key Managerial Personnel (KMP), commencing from April 1, 2020 from his present designation of CEO (India Business) of the Company.

The Re-designation/Re-appoi_ntment of (Hony) Brig. Dr. Arvind Lal, Dr. Om Prakash Manchanda and Dr. Vandana Lal, is subject to approval of Shareholders of the Company.

Please also take note that (Hony) Brig. Dr. Arvind Lal, Dr. Om Prakash Manchanda and Dr. Vandana Lal are not debarred from holding the office of Director by virtue of any order of Securities and Exchange Board of India or any other such Authority.
