F1: The transaction reported on this Form relates to the separation (the "Separation") of Knowles Corporation (the "Issuer") from Dover Corporation (the "Reporting Person") that occurred February 28, 2014. The Issuer was a wholly-owned subsidiary of the Reporting Person until the Separation. Prior to the Separation, the Issuer distributed shares of Issuer Common Stock to the Reporting Person as a dividend. To effect the Separation, the Reporting Person distributed the 85,019,159 issued and outstanding shares of Issuer Common Stock, by means of a pro rata dividend to the holders of the common stock of the Reporting Person.
