The Board of Directors (the "Board") of M/s. Devinsu Trading Limited (the "Company"), has in its meeting held on Monday, 18th May, 2026, at 05:30 P.M. at registered office of the Company situated at 2, Floor-1, Plot-90/94, Zaveri Mansion, Shaikh Memon Street, Zaveri Bazar, Kalbadevi, Mumbai- 400002 Maharashtra have inter-alia other business discussed and approved the following major businesses:

  1. Considered and approved the appointment of Mrs. Sangita Hiren Shukla (DIN: 11647378) as an Additional Independent Director of the Company for a period of 5 (Five) years with effect from 18th May, 2026 to 17th May, 2031 subject to the approval of members in ensuing Annual General Meeting.

The information in terms of Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 and Schedule III of SEBI (LODR) Regulations, 2015 and relevant SEBI Circulars is enclosed in Annexure I.

  1. Appointment of Mr. Bhaveshkumar Arjunkumar Rawal, Practicing Company Secretary (FCS: 8812; CP No. 10257) as the Secretarial Auditor of the Company for term of five consecutive years commencing from FY 2025- 26 to FY 2029-30.

The information in terms of Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 and Schedule III of SEBI (LODR) Regulations, 2015 and relevant SEBI Circulars is enclosed in Annexure II.

  1. Appointment of Mr. Akash Mehta, Practicing Chartered Accountant (Membership No. 168508) as the Internal Auditor of the Company for term of five consecutive years commencing from FY 2025- 26 to FY 2029-30.

The information in terms of Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 and Schedule III of SEBI (LODR) Regulations, 2015 and relevant SEBI Circulars is enclosed in Annexure III.

  1. Appointment of Mr. Krish Piyush Shah, as the CFO of the Company w.e.f. May 18, 2026. The details required to be submitted to the Exchanges, in this regard, in terms of Regulation 30 of the SEBI (LODR) Regulations, 2015 read with relevant SEBI Circulars are enclosed herewith as Annexure IV.

  1. Appointed Ms. Khushi Gangwani (ACS: 80518) as Company Secretary and Compliance Officer of the Company w.e.f.18th May, 2026.

Dr. Shukla is currently serving as Principal of Indubhai Patel College of Pharmacy & Research Centre, where she is responsible for overall administration, regulatory compliance, and academic leadership. She has previously served as Principal and Head of Department at reputed institutions and has extensive experience in managing large organizations and ensuring compliance with regulatory authorities such as AICTE, PCI, and GTU.
