Remuneration Statement in relation to Anne-Francoise Nesmes pursuant to section 430(2B) of the Companies Act 2006

As referred to in the announcement of 16 February 2016, Anne-Francoise Nesmes stepped down from the Board and left the business with effect from 31 July.

The Remuneration Committee has determined that as Anne-Francoise remained with the business for the whole of the 2016 financial year, she will be eligible to earn a bonus for the 2016 financial year, subject to the satisfaction of the applicable performance condition and personal objectives.  Any bonus earned for the 2016 financial year will be paid in September 2016, and details will be included in the 2016 Directors' Remuneration Report.

In accordance with the rules of the Long Term Incentive Plan (LTIP), as Anne-Francoise remained with the business for the full performance period of the LTIP Award granted in November 2013, she will be entitled to retain that award which will vest in November 2016, subject to the satisfaction of the applicable performance conditions; details will be included in the 2016 Directors' Remuneration Report. Her LTIP Award granted in November 2014 and her LTIP Award granted in September 2015 lapsed in full on 31 July 2016.

No payment for loss of office was made to Anne-Francoise in the year ended 30 June 2016 nor will be made in the year ended 30 June 2017.
