BOARD CHANGES
Dublin, Ireland – 31 December 2019: Datalex plc (the "Company" or the "Group") (Euronext Dublin: DLE), a leading provider of digital commerce solutions to global travel retailers, announces the resignation of Roger Conan and Garry Lyons, non-executive directors, from the Board with effect from 31 December 2019.
David Hargaden, Chairman said: "On behalf of the Board, I should like to thank Roger and Garry, sincerely, for their valuable contribution to Datalex plc over many years, particularly during the recent transition period. I wish Roger and Garry, well in their future endeavours."
Listing Rule 6.1.88 of the Euronext Dublin Listing Rules provides that "A Listed Company must ensure that at all times not more than one third of its board of directors is composed of persons who have been co-opted to the board." This announcement means that three of seven members of the board would be persons who have been co-opted, that is to say, persons appointed by the Directors, rather than shareholders. In compliance with Listing Rule 6.1.88, the Company will convene an Extraordinary General Meeting ("EGM") to propose ordinary resolutions for the approval of all appointments made since our last Annual General Meeting. Details of this EGM will be issued in due course.
