Item 5.02. Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers; Compensatory Arrangement of Certain Officers.

On December 20, 2006, Curis, Inc. (the “Company”) announced that on December 14, 2006, the Board of Directors (the “Board”) of the Company approved the promotion of Michael P. Gray from Senior Vice President of Finance and Chief Financial Officer to Chief Operating Officer and Chief Financial Officer.

Mr. Gray, age 36, has served as the Company’s Senior Vice President of Finance and Chief Financial Officer since June 2006, as Vice President of Finance and Chief Financial Officer from December 2003 to May 2006, and served as Senior Director of Finance and Controller of the Company from August 2000 until December 2003.
