Ctac finalizes acquisition of Belgian Core Consulting

SAP / ERP-specialist Ctac has completed the earlier announced acquisition of 100% of the shares in Core Consulting. This acquisition boosts Ctac's leading position in the SAP-specialists market in Belgium.

Core Consulting offers Ctac an additional increase in scale in a very technical area in which the company is known for its technical know-how. This will also enable Ctac to offer a broader portfolio of services. The addition of Core Consulting will boost Ctac's organic growth in Belgium through the accelerated launch of a technical operational centre. Core's renowned clients in Belgium form an excellent supplement to Ctac's existing client base, while Core Consulting also has a solid presence in the Walloon part of Belgium, where Ctac has a less prominent position. Core Consulting will be integrated in Ctac Belgium's existing SAP management activities.

Core Consulting realised a profitable turnover of EUR 4.7 million in 2007. Core Consulting currently employs 22 consultants (FTEs). Core Consulting will be consolidated as of 1 January 2009 and is expected to contribute to the earnings per share in 2009.

The purchase price is based on an earn-out dependent on the financial results of Core Consulting in 2009 and 2010. Consequently, the final part of the purchase price will be paid in the first quarter of 2011. Up to a maximum of 13%, the purchase price will be paid in Ctac shares. The remaining part will be paid in cash. Dependent on the realised results, the total urchase price will amount to approximately 3 times average EBIT over 2008, 2009 and 2010.
