The 28th Annual General Meeting ("AGM") of the Members of Som Datt Finance Corporation Limited (the "Company"") washeld on Thursday, 12th August, 2021 at 3:00 PM (IST) through Video Conferencing(VC") or Other Audio Visual means. The meeting was held in compliance with the General Circular dated 08" April, 2020, 13! April, 2020, 05t" May, 2020 and 13! January, 2021 issued by the Ministry of Corporate Affairs ("MCA"), Circular Dated 12" May, 2020 And 15t* January, 2021 Issued By Securities And Exchange Board Of India('SEBI') and as per the applicable provisions of the Companies Act, 2013 and the Rules made thereunder. Members Present: 46 Members joined through Video Conferencing.

The Company Secretary, welcomed the Members of the Company,to its 28th Annual General Meeting.

The Company Secretary then introduced the Board Members namely, Mrs. Vijay Rathee, Mr. Kuldip Singh Rathee, and Mr. Rajvir Singh Chhillar and informed the Members, the presenceof (1) Mr. Ankit Yadav, Chief Financial Officer of the Company, who was participating in the AGM from Gurugram (2) Ms. Shradha Talwar — as the representative of the Statutory Auditors of the Company, MWS. D.S.Talwar &Co. who wasparticipating in the AGM from Delhi and (3) Mr. Naveen Narang — as the representative of M/s Naveen Narang & Associates, Secretarial Auditor and Scrutiniser for e-voting process at the AGM who wasparticipating in the AGM from Dethi.

Appointment of Chairman

The Company Secretary informed the Members that since the Company has no designated Chairman and therefore in terms of the Articles of Association of the Company and Secretarial Standardsof the Institute of Company Secretaries of India, he requested the Directors of the Company to appoint the Chairman amongst themselvesfor the 28" AGM ofthe Company.

Mrs. Vijay Rathee and Mr. Rajvir Singh Chhillar proposed the nameof Mr. Kuidip Singh Rathee as the Chairman of the 28% AGM of the Company.

The Company Secretary informed the Members that with unanimous consent of all the Directors, Mr. Kuldip Singh Rathee was appointed as the Chairmanof the 28'* AGM of the Company.

AGM related procedure

The Company Secretary before hand-overof the proceedings of the AGM to the Chairman, to declare the meeting open, highlighted certain points:

  • The AGM was convened through video conferencing or other audio/visual means in compliance with the Companies Act 2013, read with specific circulars dated 8th April 2020, 13th April 2020 and 5th May 2020 issued by the Ministry Of Corporate Affairs, and circulars dated 12 May, 2020 and 15t January, 2021 issued by Securities and Exchange Board of India(SEB}) , which exempt physical attendanceofthe members to the AGM venue.

  • The joining to the AGM was opened 30 minutes before the scheduled time of the commencement of the meeting, which was 3.00 p.m. and it would remain open for another 15 minutesfor e-voting purpose after the end of the meeting.

  • Members were encouraged to join the meeting through their laptops and headphonesfor a better experience and use internet with a good speed to avoid any disturbance during the meeting. Participants connecting from mobile devices or tablets or through laptops connecting via a mobile hotspot were recommended to use a stable Wi-Fi or LAN connection to mitigate any kind of audio/video loss dueto fluctuation in their respective network.   • The facility of participation at the AGM through video conferencing or other audio/visual means was madeavailable on first comefirst serve basis, W
  • Subsequent to the MCAcircularcf 8th April 2020, issued by the Ministry of Corporate Affairs, the facility to appoint proxy to attend and cast vote for the members was notavailable for the AGM.
  • The Registered Office of the Companyis situated at Delhi and henceit shall be deemed as the venue for the AGM and proceedings of the AGM shall be deemed to be madethereat. Vv Vv VW
  • To transact the businesses as mentioned in the notice of the AGM, the members were provided an opportunity to inspect all the documents referred to in the notice to the Companyat its email id, i.e., [email protected] the date of AGM.
  • The Companyreceived queries of the Members in advance and the Chairman would be responding to such queries at the end of the meeting 4

Thereafter, the Company Secretary handed over the proceedings to the Chairman of the AGM.

Mr. Kuldip Singh Rathee (Chairman), after ascertaining that the sufficient numbers of members have logged-in to constitute the quorum, declared the AGM to open.

The Chairman informed the Members that since the Notice convening the AGM and the Director's Report nad already been emailed to all the Members and therefore the same was taken as read.

Thereafter, the Chairman delivered his speech and before concluding his speech, expressed his gratitude to all the employees, board members, and all other stakeholders for their support, continuous guidance, and co-cperation and then handed over the proceedings to the Company Secretary.

The Company Secretary, thereafter requested Ms. Shradha Talwar, representative of the Statutory Auditors of the Company, to read out the Auditor's Report for the benefit of the Members.

Ms. Shradha Talwar, in the interest of time, read thefirst and lastline of the opinion paragraphof their Audit Report.

The Company Secretary, thereafter informed the Members that pursuant to the provisions of Companies Act 2013 and the SEBI listing regulations, the Company had providedfacility for voting by electronic meanstoall its members to enable to cast their votes electronically and the business shall be transacted through such e-voting. For this purpose, the Company hadtied up with the evoting system of National Securities Depository Limited for facilitating voting through electronic meansas the authorized agency. The Companyprovided remote e-voting facility (from 9% August, 2021 to 11" August, 2021) to all the persons who were members on 5th August 2021, being the cut-off date to vote on the following 2 (two) resolutions in respect of the Item set outin the notice of AGM:
