Item 2.02. Results of Operations and Financial Condition.

On January 20, 2011, CPI Aerostructures, Inc. (the “Registrant”) issued a press release announcing its preliminary unaudited financial results for the year ended December 31, 2010. The press release is included as Exhibit 99.1 hereto.
