Ocena Rady Nadzorczej dotycząca sprawozdania z działalności Grupy Kapitałowej Capital Park S.A. i skonsolidowanego sprawozdania finansowego Grupy Kapitałowej Capital Park S.A. za 2019 rok w zakresie ich zgodności z księgami, dokumentami oraz ze stanem faktycznym

The Supervisory Board's assessment of the report on the operations of the Capital Park Group and the consolidated financial statements of the Capital Park Group for 2019 within the scope of their compliance with the books, documents and with the facts

Ocena dotycząca sprawozdania z działalności Grupy Kapitałowej Capital Park S.A. i skonsolidowanego sprawozdania finansowego Grupy Kapitałowej Capital Park S.A. za 2019 rok w zakresie ich zgodności z księgami, dokumentami oraz ze stanem faktycznym została sporządzona na podstawie § 71 ust. 1 pkt. 12) Rozporządzenia Ministra Finansów z dnia 29 marca 2018 roku w sprawie informacji bieżących i okresowych przekazywanych przez emitentów papierów wartościowych oraz warunków uznawania za równoważne informacji wymaganych przepisami prawa państwa niebędącego państwem członkowskim ("Rozporządzenie").

Przedmiotem niniejszej oceny jest:

• 1. sprawozdanie z działalności Grupy Kapitałowej Capital Park S.A. za rok 2019;
• 1. skonsolidowane sprawozdanie finansowe Grupy Kapitałowej Capital Park S.A. za rok 2019.

Ocena sprawozdania z działalności Grupy Kapitałowej Capital Park S.A. za rok 2019:

Rada Nadzorcza poddała ocenie sprawozdanie z działalności Grupy Kapitałowej Capital Park S.A. za 2019 rok oraz zapoznała się z przedstawionymi przez audytora PricewaterhouseCoopers Polska Sp. z o.o. Audyt Sp. k. (dawniej: PricewaterhouseCoopers Sp. z o.o.) wynikami przeprowadzonego badania i stwierdza, że sprawozdanie z działalności Grupy Kapitałowej Capital Park S.A. za 2019 rok:

• 1. zostało sporządzone zgodnie z § 71 Rozporządzenia;
• 1. jest zgodne z informacjami zawartymi w skonsolidowanym sprawozdaniu finansowym Grupy Kapitałowej Capital Park S.A. za 2019 rok.

Rada Nadzorcza stwierdza, że sprawozdanie z działalności Grupy Kapitałowej Capital Park S.A. w 2019 roku rzetelnie przedstawia sytuację ekonomiczno-finansową i majątkową Grupy Kapitałowej Capital Park S.A. i jest zgodne z księgami i dokumentami, jak i ze stanem faktycznym.

W związku z powyższym Rada Nadzorcza pozytywnie ocenia sprawozdanie z działalności Grupy Kapitałowej Capital Park S.A. za 2019 rok.

Ocena skonsolidowanego sprawozdania finansowego Grupy Kapitałowej Capital Park S.A. za rok 2019:

Rada Nadzorcza poddała ocenie skonsolidowane sprawozdanie finansowe Grupy Kapitałowej Capital Park S.A. za 2019 rok składające się z:

• 1. skonsolidowanego sprawozdania finansowego Grupy Kapitałowej Capital Park S.A. za 2019 rok,
• 1. sprawozdania Zarządu z działalności Grupy Kapitałowej Capital Park S.A. w 2019 roku,

oraz zapoznała się z przedstawionymi przez audytora PricewaterhouseCoopers Polska Sp. z o.o. Audyt Sp. k. wynikami przeprowadzonego badania.

Rada Nadzorcza stwierdza, że skonsolidowane sprawozdanie finansowe Grupy Kapitałowej Capital Park S.A. za rok 2019 zostało sporządzone we wszystkich istotnych aspektach zgodnie z Międzynarodowymi Standardami Sprawozdawczości Finansowej i jest zgodne z księgami i dokumentami, jak i ze stanem faktycznym.

W związku z powyższym Rada Nadzorcza pozytywnie ocenia skonsolidowane sprawozdanie finansowe Grupy Kapitałowej Capital Park S.A. za 2019 rok.

The assessment of the report on the operations of the Capital Park Group and the consolidated financial statements of the Capital Park Group for 2019 within the scope of their compliance with the books, documents and with the facts was drawn up on the basis of § 71 clause 1 subclause 12) of the Regulation of the Ministry of Finance dated 29 March 2018 on current and periodic information provided by issuers of securities and the conditions for recognition as equivalent information required by the law of non-Member States ("Regulation").

• 1. Report of on the operations of the Capital Park Group for 2019;
• 1. Consolidated financial statements of the Capital Park Group for 2019

constitute the subjects of this assessment.

Assessment of the report on the operations of the Capital Park Group for 2019:

The Supervisory Board assessed the report on the operations of the Capital Park Group for 2019 and took note of the presented results of the audit conducted by the auditor PricewaterhouseCoopers Polska Sp. z o.o. Audyt Sp. k. (formerly: PricewaterhouseCoopers Sp. z o.o.) and hereby resolves that the report on the operations of the Capital Park Group for 2019:

• 1. was drawn up pursuant to § 71 of the Regulation;
• 1. is compliant with information contained in the consolidated financial statements of the Capital Park Group for 2019.

The Supervisory Board states that the report on operations of the Capital Park Group for 2019 provides a fair view of the economic, financial and asset situation of the Capital Park Group and is compliant with the books, documents and the facts.

Given the above, the Supervisory Board positively evaluates the report on the operations of the Capital Park Group for 2019.

Assessment of the consolidated financial statements of the Capital Park Group for 2019:

The Supervisory Board assessed the consolidated financial statements of the Capital Park Group for 2019 comprising of:

• 1. consolidated financial statements of the Capital Park Group for 2019,
• 1. Management Board report on the operations of the Capital Park Group for 2019,

and took note of the presented results of the audit conducted by the auditor PricewaterhouseCoopers Polska Sp. z o.o. Audyt Sp. k.

The Supervisory Board states that the consolidated financial statements of the Capital Park Group for 2019 were drawn up pursuant to the International Financial Reporting Standards in all material aspects and are compliant with the books, documents and the facts.

Given the above, the Supervisory Board positively evaluates the consolidated financial statements of the Capital Park Group for 2019.
