Profit Guidance

Countplus, which listed in the ASX on 22 December 2010, is an aggregation of 18 established professional services businesses across Australia, including 16 accounting practices, one financial planning services practice and a financial planning dealership.

Count Financial remains a major shareholder of Countplus and will report its 2011 half yearly result tomorrow, which will include a contribution from its Countplus investment.

Countplus will report its 2011 half yearly result on 28 February 2011, which will include the consolidated results of all its Firms in which an equity interest were held from 1 July 2010 (note that final acquisitions were completed as part of the listing in December 2010).

While the accounts are still being reviewed by the auditors, The Directors expect that the six month fully consolidated earnings before interest, tax and amortisation will be approximately $10.4 million (excluding a fair value uplift of its equity interests recognised on consolidation at 1 July 2010).

Countplus Firms will generally perform marginally stronger in the first half due to workflow and the Christmas/New Year holiday season impacting the second half. The Queensland flooding will also have a temporary impact on the result of Countplus’ two Brisbane based practices. However, the Directors expect that the second half EBITA will exceed the first half consolidated result due to three of the Firms being acquired post July 2010 and so not contributing a full six months to this result, as well as some non-recurring acquisition costs expensed in the first half.

While no forecasts were made in the Countplus prospectus, this result is in line with previous market statements made by Count Financial Limited. The Directors remain confident that Countplus is well-positioned for future growth.
