RESIGNATION OF COMPANY SECRETARY AND APPOINTMENT OF JOINT COMPANY SECRETARIES
The Board announces that Mr. Ye Yumang has resigned as the company secretary of the Company with effect from 29 April 2014 and Mr. Yu Zhen and Ms. Ng Sau Mei have been appointed as the joint company secretaries of the Company with effect from the same date.
RESIGNATION OF COMPANY SECRETARY
The board of directors (the “ Board ”) of China Shipping Container Lines Company Limited (the “ Company ”) announces that Mr. Ye Yumang (“ Mr. Ye ”) has resigned as the company secretary of the Company with effect from 29 April 2014 due to change of job assignments. Mr. Ye has confirmed that, as at the date of this announcement, he has no disagreement with the Board and there is no other matter in relation to his resignation that needs to be brought to the attention of the shareholders of the Company and The Stock Exchange of Hong Kong Limited (the “ Stock Exchange ”).
The Board would like to take this opportunity to express its sincere appreciation to Mr. Ye for his contribution to the Company in the past.
APPOINTMENT OF JOINT COMPANY SECRETARIES
The Board is pleased to announce that Mr. Yu Zhen (“ Mr. Yu ”) and Ms. Ng Sau Mei (“ Ms. Ng ”) have been appointed as the joint company secretaries of the Company with effect from 29 April 2014.
Pursuant to Rule 3.28 of the Rules Governing the Listing of Securities (the “ Listing Rules ”) on The Stock Exchange of Hong Kong Limited (the “ Stock Exchange ”), the Company must appoint a company secretary who, by virtue of his/her academic or professional qualifications or relevant experience, is, in the opinion of the Stock Exchange, capable of discharging the functions of company secretary.
Mr. Yu is familiar with the internal operations and management of the Company and its subsidiaries. However, given that Mr. Yu does not possess the relevant qualification as required under the Listing Rules, his appointment as company secretary alone does not strictly comply with the requirements under Rule 3.28 of the Listing Rules.

The Company has made application to the Stock Exchange for and the Stock Exchange has granted a waiver from strict compliance with the requirements under Rule 3.28 of the Listing Rules. The waiver is valid for a period of three years from the date of appointment of Mr. Yu as the joint company secretary of the Company (the “ Waiver Period ”), on the conditions that: (i) Mr. Yu will be assisted by Ms. Ng during the Waiver Period and the waiver will be revoked immediately if and when Ms. Ng ceases to be a joint company secretary of the Company; (ii) the Company will notify the Stock Exchange at the end of the Waiver Period for the Stock Exchange to re-visit the situation. The Stock Exchange expects that, at the end of the Waiver Period, the Company will be able to demonstrate to the Stock Exchange’s satisfaction that Mr. Yu can meet Rule 3.28 of the Listing Rules and a further waiver will not be necessary; and (iii) the Company will disclose the details of the waiver, including the reasons for the waiver and the waiver conditions by way of announcement.
Mr. Yu, aged 36, is currently the deputy general manager of the General Manager Office/Directorate Secretary Office of the Company. Mr. Yu started his career from 1999, and served as finance department officer, finance department head of China Shipping International Trading Company, manager of finance department of China Shipping (Romania) Agency Co., Ltd., general manager of finance department of China Shipping (Europe) Holding GmbH. He joined the Company in November 2013 and has since served as deputy general manager of the General Manager Office/ Directorate Secretary Office of the Company. He graduated from finance and accounting faculty of Shanghai Shipping College (now known as Shanghai Maritime University) with a Bachelor’s degree in economics in July 1999. Mr. Yu is a certified public accountant (CPA) of the People’s Republic of China (the “ PRC ” ) and a mid level accountant.
Ms. Ng, aged 36, is a manager of KCS Hong Kong Limited and is responsible for provision of corporate secretarial and compliance services to listed company clients. She has over 13 years of experience in the company secretarial field. Ms. Ng obtained a Bachelor’s Degree in Laws from City University of Hong Kong and is an associate member of the Hong Kong Institute of Chartered Secretaries and the Institute of Chartered Secretaries and Administrators in United Kingdom.
The Board would like to express its warmest welcome to Mr. Yu and Ms. Ng for taking up the appointments.

The Board as at the date of this announcement comprises of Mr. Zhang Guofa, Mr. Huang Xiaowen and Mr. Zhao Hongzhou, being executive Directors, Mr. Wang Daxiong, Ms. Su Min, Mr. Ding Nong, Mr. Chen Jihong and Mr. Zhang Rongbiao, being non-executive Directors, and Ms. Zhang Nan, Mr. Teo Siong Seng, Mr. Chen Lishen, Mr. Guan Yimin and Mr. Shi Xin, being independent non-executive Directors.
