Share Consolidation and Fundraising

Further to the announcement of 5 December 2019, the Company has issued 56 new ordinary shares of £0.0001 each for a nominal total consideration of £0.0056 ("the Rounding Shares"). 

The  Rounding Shares have been issued to adjust the total number of shares in issue to be 1,516,894,215 ordinary shares of £0.0001 each with voting rights, at the time of the General Meeting held on 23 December 2019 at 12 noon, and accordingly be a suitable number to issue 7,170,440,985 new ordinary shares in a consolidated form of 71,704,410 ordinary shares of £0.0001 each on 24 December 2019.

As set out in the Notice of General Meeting, shareholders will be asked to consider, and if thought fit, pass resolutions, which will have the following effect: that every 100 ordinary shares of £0.0001 on the Record Date are consolidated into one new ordinary share of £0.0001 each (the "Consolidation").    

Application has been made for the Rounding Shares, which will rank pari passu with all existing ordinary shares, to be admitted to trading on AIM ("Admission").  Admission is expected on 23 December 2019.

The above figure of 1,516,894,215 may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in the Company under the FCA's Disclosure Guidance and Transparency Rules.
