Further to our discussion earlier today, this letter will confirm the basis upon which the filing fees payable to the Commission des valeurs mobilieres du Quebec were calculated in connection with the Offer to Purchase (the “Offer to Purchase”) of Conoco Canada Resources Limited (“Conoco Canada”) dated June 12, 2002. Based upon information provided to us by Gulf Indonesia Resources Limited (“Gulf Indonesia”) and its representatives, we understand that there are on Gulf Indonesia’s registered shareholder list 9,750 shares held by Canadians (not including those shares already held by Conoco Canada). The fees payable in respect of the Offer to Purchase, as calculated under Section 271.4(1) of the Quebec Securities Act, would be $9.94 (9,750 shares x Cdn$20.38/share x 25% x 0.02%), but for the prescribed minimum.

The number of Gulf Indonesia shares indicated on Item 5 of the Report under Section 189.1.3 of the Quebec Securities Act filed via SEDAR included all Gulf Indonesia shares subject to the Offer to Purchase, including those currently held by U.S. registered holders.
