Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensation Arrangements of Certain Officers.

On March 28, 2011, the Board of Directors of Center Bancorp, Inc. (the “Company”) appointed Vincent Tozzi to the positions of Vice President, Treasurer and Chief Financial Officer of the Company effective immediately.

Mr. Tozzi joined Union Center National Bank (the “Bank”) in December, 2010 as a consultant to the Finance Division and was hired as Senior Vice President & CFO of the Bank in February 2011. He previously served as Senior Vice President and Chief Financial Officer of The Bank of Princeton. Mr. Tozzi holds an MBA in Accounting and Taxation from Rutgers University and a B.A. from St. John’s University.
