Item 1.01 Entry into a Material Definitive Agreement.

(1) Form of Restricted Stock Unit Agreement On March 26, 2013, the Compensation Committee of Cohu’s Board of Directors approved a form of restricted stock unit agreement to govern the issuance of RSUs under the Cohu, Inc. 2005 Equity Incentive Plan. A form of the agreement is filed herewith as Exhibit 10.1 and is incorporated by reference into this Item 1.01.
