The Management Board of Celon Pharma S.A. (the"Company") hereby announces that on 8 June 2026 it entered into aLicense and Supply Agreement with Pharmalink Drug Store L.L.C.("Pharmalink") for the commercialization of Celon Pharma's Reduzek(semaglutide products) in multi-dose pens for subcutaneous injection.

Under the Agreement, Pharmalink is granted exclusiverights, subject to the contractual obligations and applicable legalrequirements, to register, market, distribute, promote, and sell CelonPharma's semaglutide-containingproducts in Saudi Arabia, the United Arab Emirates, Kuwait, Bahrain,Qathar and Oman.CelonPharma will remain responsible for product supply, regulatory documentation,and manufacturing support. Pharmalink will be responsible for localregulatory registration, importation, distribution, marketing, sales,pharmacovigilance, and all commercialization activities within thedesignated territory.

The collaboration will cover two planned productregistration dossiers

The initial term of the Agreement is planned to befive years from the date of the first commercial sale ofanyproduct in anyof the designated territories. Prior to the expiration of the Agreement,the parties intend to enter into good-faith discussions regarding itsrenewal.The estimated minimumvalue of the Agreement during the first full three years following thefirst commercial sale amounts to USD 29 million (milestones + supplyrevenue).

This partnership represents another step in CelonPharma's strategy to build an international commercial footprint for itsGLP-1 portfolio by combining the Company's capabilities inpharmaceutical development, regulatory documentation, and manufacturingwith the local expertise of regional partners in regulatory affairs,distribution, and commercialization.
