Item 5.03 Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.

On October 2, 2018, in accordance with Section 3, Paragraph 3.2 of the Company’s bylaws, the Board reduced the number of directors from six to five. The decrease in the number of authorized directors will not have the effect of shortening the term of any incumbent director, each of whom will serve until his or her office expires at the next annual meeting of shareholders.
