Pursuant to Regulation 30 read with Schedule III of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, we wish to inform that the Board of Directors of DEXIT Global Limited (formerly NSEIT Limited) ("the Company"), a material unlisted subsidiary of CL Educate Limited, at its meeting held on February 27, 2026, has approved the appointment of Dr. Abhay Jere as an Additional Director (Category: Non-Independent, Executive Director), designated as Managing Director and Chief Executive Officer (a Key Managerial Personnel) of the Company, with effect from March 20, 2026 , subject to the approval of the shareholders of the Company and such other approvals as may be required in this respect.

Details in connection with the proposed appointment as required under Regulation 30 of the SEBI Listing Regulations, 2015 read with read with SEBI circular no. SEBI/HO/CFD/PoD2/CIR/P/0155, dated November 11, 2024, are enclosed as Annexure I .

Brief Profile (in case of appointment of a director)	Dr. Abhay Jere is a global technology, innovation, and digital transformation leader with over 24 years of experience spanning industry, government, and research. He holds a Ph.D. in Health Sciences from Pune University and the University of Tokushima, Japan, and an M.Tech (Equivalent) in Downstream Processing from UDCT, Mumbai. He was the Vice Chairman of the All India Council for Technical Education (AICTE) and Chief Innovation Officer at the Ministry of Education, Government of India since August 2018, Dr. Jere has demonstrated board-level governance and national-scale leadership influencing over 14,000 institutions. Prior to this, he served as Vice President and Head of R&D and Innovation at Persistent Systems Ltd., Pune, from June 2010 to August 2018. He has deep expertise in AI-enabled platforms, SaaS, data monetization, digital ecosystems, and large-scale transformation. He has conceptualized and launched multiple software products and flagship national programs, and has served on several Government of India empowered committees. He brings extensive international exposure across the USA and Japan, and has over 20 international scientific publications to his credit.
