EXPLANATORY NOTE

This Amendment No. 1 to Current Report on Form 8-K (this “Form 8-K/A”) amends the Current Report on Form 8-K of CKX Lands, Inc. (the “Registrant”) filed with the Securities and Exchange Commission on December 10, 2019, (the “Original Form 8-K”). The Original Form 8-K reported the appointment of Edward M. Ellington, II to serve as a director of the Registrant effective December 3, 2019. Pursuant to Instruction 2 to Item 5.02 of Form 8-K, this Form 8-K/A is being filed solely to provide information called for in Item 5.02(d)(3) of Form 8-K that had not been determined at the time of filing of the Original Form 8-K.

On March 12, 2020, the Board of Directors of the Registrant appointed Mr. Ellington to its Audit Committee.
