ANNOUNCEMENT

COMPLETION OF SALE OF SALE SHARES BY CITIC POLARIS TO CT BRIGHT

The Company was informed by CITIC Polaris, a substantial shareholder of the Company and a wholly-owned subsidiary of CITIC Group, that all the conditions precedent in the Share Purchase Agreement had been fulfilled or waived and the sale of a total of 2,490,332,363 Shares by CITIC Polaris to CT Bright was completed on 30 April 2015 in accordance with the terms and conditions of the Share Purchase Agreement. The total consideration for the sale of the Sale Shares is HK$34,366,586,609.00.

We refer to the announcement of CITIC Limited (the “ Company ” ) dated 20 January 2015 in relation to, among other things, the proposed sale of 2,490,332,363 Shares by CITIC Polaris to CT Bright under and subject to the Share Purchase Agreement (the “ Announcement ”). Unless otherwise specified, capitalized terms used in this announcement shall have the same meaning as defined in the Announcement.

COMPLETION OF SALE OF SALE SHARES BY CITIC POLARIS TO CT BRIGHT

The Company was informed by CITIC Polaris that all the conditions precedent in the Share Purchase Agreement had been fulfilled or waived and the sale of a total of 2,490,332,363 Shares, representing 10.00% of the total issued share capital of the Company as at the date of this announcement, by CITIC Polaris to CT Bright was completed on 30 April 2015 in accordance with the terms and conditions of the Share Purchase Agreement. The total consideration for the sale of Sale Shares is HK$34,366,586,609.00.
