As at the date of this announcement, the executive directors of CITIC Limited are Mr Chang Zhenming (Chairman), Mr Wang Jiong, Ms Li Qingping and Mr Pu Jian; the non-executive directors of CITIC Limited are Mr Song Kangle, Ms Yan Shuqin, Mr Liu Zhuyu, Mr Peng Yanxiang, Mr Liu Zhongyuan, Mr Yang Xiaoping and Mr Wu Youguang; and the independent non-executive directors of CITIC Limited are Mr Francis Siu Wai Keung, Dr Xu Jinwu, Mr Anthony Francis Neoh, Ms Lee Boo Jin, Mr Paul Chow Man Yiu and Mr Shohei Harada.

Incorporation of Subsidiaries

The Board of Directors (“Board”) of CITIC Envirotech Ltd (“CEL”, “Group” or “Company”) wishes to announce the incorporation of the following subsidiaries:

A) CITIC Environmental Management (Meigu) Co., Ltd

With reference to the announcement dated 24 June 2018 concerning the award of a RMB 2.5 billion engineering procurement and construction (“EPC”) project on ecological restoration in Meigu County, Sichuan Province, CITIC Environmental Management (Meigu) Co., Ltd, with a registered share capital of RMB 50 million has been set up to undertake this project. The subsidiary is wholly owned by CEL.

B) CITIC Environmental Management (Yunfu) Co., Ltd

With reference to the announcement dated 9 May 2018 concerning the award of a RMB 720 million Public-Private-Partnership (“PPP”) project in Yunfu City, Guangdong Province, CITIC Environmental Management (Yunfu) Co., Ltd, with a registered share capital of RMB 144 million has been set up to undertake this project.

The subsidiary is owned by CEL and the local government, with shareholdings of 88% and 12% respectively.

The aforementioned capital injections are from the proceeds of the recent placement of new ordinary shares in the capital of the Company and bank financing.

The aforementioned investments have no material effect on the net tangible assets per share or earnings per share of the Company for the financial year ending 31 December 2018.

None of the directors or controlling shareholders of the Company has an interest, direct or indirect in the above investments.
