CONNECTED TRANSACTION – ISSUANCE OF NEW SHARES BY CSMALL TO CONNECTED PERSONS CLOSURE OF REGISTER OF MEMBERS

Reference is made to the announcements (the “ Announcements ”) of China Silver Group Limited (the “ Company ”) dated 6 June 2016 and 28 June 2016 in relation to the issuance of new shares by CSMall. Unless otherwise defined, capitalized terms used in this announcement shall have the same meaning as those defined in the Announcements.

The board of directors of the Company announces that, an extraordinary general meeting of the Company (the “ EGM ”) will be convened to consider and approve, among other things, the Silver Apex Issuance and the Treasure Delight Issuance and a circular containing, among others, further details about the Issuances together with a notice convening the EGM will be despatched to the Shareholders on Tuesday, 12 July 2016.

For the purpose of determining the entitlement of Shareholders who may attend and vote at the EGM, the transfer books and register of members of the Company will be closed from Monday, 25 July 2016 to Wednesday, 27 July 2016 (both days inclusive), during which no transfer of shares will be registered. In order to qualify for the right to attend and vote at the EGM, all transfer documents accompanied by the relevant share certificates must be lodged with the Company’s Hong Kong branch share registrar, Computershare Hong Kong Investor Services Limited, at Shop 1712-1716, 17th Floor, Hopewell Centre, 183 Queen’s Road East, Hong Kong not later than 4:30 p.m. on Friday, 22 July 2016.

As at the date of this announcement, the executive Directors of the Company are Mr. Chen Wantian, Mr. Sung Kin Man, Mr. Song Guosheng and Mr. Chen Guoyu, and the independent non-executive Directors of the Company are Mr. Guo Bin, Mr. Song Hongbing, Dr. Li Haitao and Dr. Zeng Yilong.
