VOLUNTARY ANNOUNCEMENT

This is a voluntary announcement made by China Maple Leaf Educational Systems Limited (the “ Company ”).

The Company was notified by Sequoia Capital China Growth Fund Management I, L.P. that Sequoia Capital China Growth Fund I, L.P., Sequoia Capital China GF Principals Fund I, L.P. and Sequoia Capital China Growth Partners Fund I, L.P. (collectively “ Sequoia Capital China ”), the Company’s pre-IPO investors since 2008, had on 4 December 2015 disposed of an aggregate of 121,116,542 shares in the Company (the “ Disposal ”), representing approximately 8.91% of the total number of issued shares of the Company as at the date of this announcement, at a price of HK$2.95 per share which represents a discount of approximately 9.5% to the closing price of HK$3.26 per share as quoted on The Stock Exchange of Hong Kong Limited on the previous trading day. Immediately after the Disposal, Sequoia Capital China ceased to be shareholders of the Company.

The board of directors (the “ Board ”) of the Company does not expect that the Disposal will have any significant impact on the business operations and the financial positions of the Company, its subsidiaries and consolidated affiliated entities. Save as disclosed above, the Company was not informed of other substantial change in shareholdings as at the date of this announcement.

Shareholders of the Company and potential investors are advised to exercise caution when dealing in the securities of the Company.
