VOLUNTARY ANNOUNCEMENT – RELEASE OF SHARE PLEDGE BY CONTROLLING SHAREHOLDER

This is a voluntary announcement made by China Maple Leaf Educational Systems Limited (the “ Company ”).

Reference is made to the announcement of the Company dated 5 June 2015 in relation to the pledge (the “ Share Pledge ”) by Sherman Investment Holdings Ltd., a company wholly-owned by Mr. Shu Liang Sherman Jen who is the Chairman, executive director, co-chief executive officer and a controlling shareholder of the Company, of 705,869,909 shares of the Company (representing approximately 51.91% of the issued share capital of the Company as at 5 June 2015 and 51.87% of the issued share capital of the Company as at the date of this announcement) in favour of The Hongkong and Shanghai Banking Corporation Limited (“ HSBC ”). The sole purpose of the Share Pledge was to provide security for a loan from HSBC to fund the purchase of 30,000,000 shares of the Company from the then pre-IPO investors by Sherman Investment Holdings Ltd..

The Company has been notified by Sherman Investment Holdings Ltd. that the Share Pledge was released by HSBC on 4 August 2016.

As at the date of this announcement, Sherman Investment Holdings Ltd. owns a total of 741,869,909 shares of the Company, representing approximately 54.52% of the issued share capital of the Company.
