Cembre (STAR): acquisita la società tedesca IKUMA Gmbh & Co. KG

Brescia, 3 maggio 2018 –Cembre S.p.A. (società quotata al segmento STAR, tra i primi produttori europei di connettori elettrici e di utensili per la loro installazione) rende noto che, in data odierna, la propria controllata tedesca Cembre Gmbh, interamente posseduta, ha acquisito l'intero capitale della società tedesca Ikuma Gmbh & Co.KG ("Ikuma KG"). Inoltre, Cembre Gmbh ha acquisito anche l'intero capitale della società Ikuma Verwaltungs Gmbh, società che non svolge alcuna attività operativa ma svolge esclusivamente l'attività di amministrazione e indirizzo di Ikuma KG, acquisizione ritenuta strumentale al fine di mantenere i benefici riconosciuti dalla normativa tedesca e legati a questa specifica struttura societaria.

L'acquisizione è avvenuta mediante sottoscrizione e contestuale esecuzione del contratto di compravendita delle quote rappresentanti l'intero capitale di Ikuma KG e di Ikuma Verwaltungs Gmbh, a fronte del pagamento contestuale di un corrispettivo in denaro riferibile all'Enterprise Value pari a euro 6.300.000. Il contratto prevede inoltre un corrispettivo differito da pagarsi in quattro tranche annuali al verificarsi di specifiche condizioni, per un importo complessivo massimo di Euro 2.000.000 nei predetti quattro anni. L'operazione è stata finanziata utilizzando mezzi propri del Gruppo.

Ikuma KG svolge la sua attività sul mercato tedesco nel settore del materiale elettrico, annoverando tra la sua clientela diversi distributori tedeschi di tale materiale. Ikuma KG è uno dei principali fornitori di capicorda nel mercato tedesco. Ikuma KG al 31 dicembre 2017 aveva in forza 18 dipendenti e ha raggiunto ricavi annuali pari a circa 8,05 milioni di euro, con un catalogo prodotti molto simile a quello Cembre.

Giovanni Rosani, Presidente ed Amministratore Delegato di Cembre S.p.A. ha dichiarato:

"Siamo soddisfatti di questa operazione in quanto permette al Gruppo Cembre di consolidare la propria presenza in Germania. Sottolineo che Ikuma KG opera in una fascia del mercato tedesco in cui Cembre Gmbh è poco presente, quindi, tale acquisizione consente al Gruppo Cembre di crescere sul mercato tedesco proprio nella fascia di mercato dei distributori di materiale elettrico, in cui da tempo pianificavamo di aumentare le nostre vendite. Sono, inoltre, presenti importanti sinergie con l'attuale gamma di prodotti Cembre".

In relazione all'operazione Cembre è stata assistita da KPMG Advisory in qualità di Advisor Finanziario e dallo Studio Legale Luther Rechtsanwaltsgesellschaft mbH in qualità di consulente legale.

Cembre (STAR): acquisition of IKUMA Gmbh & Co. KG

Brescia, May 3, 2018 – Cembre S.p.A. (a STAR segment listed company and one of the largest European producers of electrical connectors and tools for their installation) announces that its wholly-owned German subsidiary Cembre GmbH acquired today the entire capital stock of German company Ikuma GmbH & Co.KG ("Ikuma KG"). Cembre GmbH also acquired the entire capital stock of Ikuma Verwaltungs Gmbh, a company whose only activity is to manage and provide stategic advice to Ikuma KG. The latter acquisition is deemend instrumental to continue to keep advantage of the benefits recognized to this specific corporate structure by German law.

The acquisition was carried out by means of the underwriting and simultaneous execution of the purchase of the entire capital stock of Ikuma KG and of Ikuma Verwaltungs GmbH against the payment of a price of €6,300,000 in cash reflecting the Enterprise Value of the two companies. The purchase contract provides also for the additional payment in four annual installments of a further total amount of €2,000,000 over the mentioned four year period, contingent on the verification of specific conditions. The acquisition was financed entirely from Group's own resources.

Ikuma KG is active on the German market in the electrical equipment sector supplying a number of German distributors and is one of the main domestic suppliers of cable terminals. At December 31, 2017, the company had 18 employees, while turnover for the year amounted to €8.05 million. Its product range is very similar to Cembre's.
