This Current Report on Form 8-K is filed by CBRE Group, Inc., a Delaware corporation (the “ Company ”), in connection with the matters described herein.

Item 1.02 Termination of a Material Definitive Agreement.

On May 15, 2013, CBRE Services, Inc., a Delaware corporation and wholly-owned subsidiary of the Company (“ Services ”), notified the holders of its existing 11.625% Senior Subordinated Notes due 2017 (the “ 11.625% Notes ”) that Services elected to redeem all of the currently outstanding $450 million aggregate principal amount of 11.625% Notes on June 15, 2013, in accordance with the provisions of the 11.625% Notes and the indenture governing the 11.625% Notes. Upon such redemption, Services’ and the other guarantors’ obligations under the indenture governing the 11.625% Notes will be discharged.
