When properly signed and delivered, securities represented by this VIF will be voted as directed by you, however, if such a direction is not made in respect of any matter, and the VIF appoints the Management Nominees, the VIF will direct the voting of the securities to be made as recommended in the documentation provided by Management for the meeting.

7. Consolidation Resolution
To consider and, if deemed appropriate, to pass, with or without variation, an ordinary resolution authorizing the Company to consolidate all of the issued and outstanding Common Shares (as presently constituted or as may be re-designated pursuant to the Amendment Resolution) on the basis of one post-consolidation Common Share for up to one-hundred fifty (150) preconsolidation Common Shares.
8. Long-Term Incentive Plan Resolution
To consider and, if deemed appropriate, to pass, with or without variation, an ordinary resolution approving the Company’s equity-based incentive plan for the ensuing year.
