Item 5.02(b). William D. Perez, a member of the Campbell Soup Company Board of Directors, notified the company on September 14, 2012 that he will not stand for re-election when his current term expires on November 14, 2012, in order to have the opportunity to pursue other activities. Mr. Perez, who was elected to the company's Board on June 1, 2009, will continue to serve as a director until the end of his current term.
