Item 5.03 Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.

On September 25, 2005, the Board of Directors (the Board) of Campbell Soup Company approved an amendment to Article II, Section 1 of the company’s By-Laws, effective November 18, 2005, to change the size of the Board from 16 to 17 directors. A copy of the By-Laws, as amended, is filed as Exhibit 3(i) to this Current Report on Form 8-K and is incorporated herein by reference.
