Copenhagen, 13 October 2022: With reference to the stock exchange announcement published by Cadeler A/S ("Cadeler" or the "Company") in connection with the private placement (the "Private Placement") on 12 October 2022, Cadeler hereby announces that it has received the following major shareholder notification pursuant to Section 38 of the Danish Capital Markets Act and Section 55 of the Danish Companies Act, respectively, regarding direct and indirect holding of shares in Cadeler:
- BW Altor Pte. Ltd.
- BW Altor Pte. Ltd.'s ("BW Altor") shareholding in Cadeler has temporarily been reduced in connection with the Private Placement as a consequence of the share lending arrangement of 25,933,549 shares in Cadeler of a nominal par value of DKK 1 each from BW Altor to DNB Bank ASA (the "Settlement Agent") for the purpose of facilitating delivery versus payment to the other investors in the Private Placement (the "Share Lending"). As a result of the Share Lending, BW Altor currently holds 27,039,884 shares in Cadeler of a nominal par value of DKK 1 each (corresponding to 16.4% of the share capital prior to completion of the Private Placement).

New shares of an identical amount as part of the Share
Lending, i.e. 25,933,549
shares in Cadeler of a nominal par value of DKK 1 each, will be redelivered to
BW Altor from the Settlement Agent following the capital increase in connection
with the Private Placement. Furthermore, BW Altor has
subscribed for 21.05% of
the shares in the Private Placement corresponding to 6,916,451
shares of a
nominal par value of DKK 1 each. Hence, following the
completion of a) the
change to the share capital in Cadeler resulting from the share
issuance of new
shares in Cadeler in connection with the Private Placement, b)
BW Altor's
receipt of the 6,916,451 newly subscribed shares, and c)
redelivery of the
shares from the Share Lending arrangement, BW Altor's
holding in Cadeler is
expected to be a total of 59,889,884 shares of a nominal par
value of DKK 1
each, corresponding to 30.31% of the total share capital and
voting rights in
Cadeler after the capital increase. The new shares that BW
Altor has subscribed
for in the Private Placement and will receive as redelivery under
the Share
Lending arrangement will be issued in a separate ISIN and
admitted to trading on
the Oslo Stock Exchange following publication of a listing
prospectus in due
course.
