MERGER BY ABSORPTION OF BANCA CARIGE S.P.A. AND BANCA DEL MONTE DI LUCCA S.P.A. INTO BPER BANCA S.P.A.: AUTHORISATION GRANTED BY THE EUROPEAN CENTRAL BANK
Modena – 4 October 2022. Further to the joint press release issued on 19 August 2022 with regard to the approval by the respective Boards of Directors of BPER Banca S.p.A. ("BPER" or the "Acquiring Company"), Banca Carige S.p.A. and Banca del Monte di Lucca S.p.A (the "Merging Companies") of a plan for the merger by absorption of the Merging Companies into BPER (the "Merger"), notice is hereby given that the Merger has been authorised by the European Central Bank today, pursuant to articles 4 and 9 of Council Regulation (EU) No. 1024/2013 and article 57 of Legislative Decree No. 385/93 (the "Consolidated Law on Banking") and related implementing provisions. At the same time, the authorisations have likewise been received (i) pursuant to Article 56 of the Consolidated Law on Banking, and related implementing provisions, for making the amendments arising from the Merger to the Articles of Association, and (ii) pursuant to Articles 26, paragraph 3, and 28 of Regulation (EU) No. 575/2013, and related implementing provisions, for classifying the newly issued ordinary shares resulting from the capital increase as CET1 instruments.
