SHARE CONSOLIDATION

Green Rock Energy Limited (ASX:GRK) (“Green Rock”) is pleased to confirm that following shareholder approval received at the General Meeting held on 15 December 2014 and its announcement on 21 January 2015 that it has completed its 20-for-1 share consolidation.

The post consolidation capital structure following the 20-for-1 share consolidation noted below:

1. Ordinary Shares on issue 113,390,691

2. Total unlisted options 5,370,003, made up of:

   • (i) 3,300,003 , unlisted options Expiring 19/01/18 @ $0.20

   • (ii) 95,000 , unlisted options Expiring 15/11/15 @ $0.40

   • (iii) 500,000 , unlisted options Expiring 18/03/15 @ $0.20

   • (iv) 1,000,000 , unlisted options Expiring 18/03/15 @ $0.30

   • (v) 100,000 , unlisted options Expiring 11/06/16 @ $0.16

   • (vi) 375,000 , unlisted options Expiring 28/11/16 @ $0.06
