Re: Submission of Final Short Form Base Shelf Prospectus (the “Short Form Base Shelf Prospectus”)

The undersigned, Ahmad Doroudian, being the Chief Executive Officer of BetterLife Pharma Inc. (the “ Issuer ”), hereby undertakes for and on behalf of the Issuer and not in his personal capacity that:

1. The Issuer will raise a minimum of $5,300,000 in connection with its first raise under its first prospectus supplement under the Short Form Base Shelf Prospectus.

2. The Issuer will raise minimum proceeds, determined at the time it files the first prospectus supplement to the Short Form Base Shelf Prospectus, sufficient to satisfy its short-term liquidity requirements and to achieve progress on the development of a key product by achieving a significant milestone.

3. The Issuer will use its best efforts to file the first prospectus supplement to the Short Form Base Shelf Prospectus within ten business days of a final receipt being issued for the Short Form Base Shelf Prospectus and, in any event, will withdraw the Short Form Base Shelf Prospectus if the Issuer is unable to raise the $5,300,000 million within 45 days of the receipt for the Short Form Base Shelf Prospectus.
