Sub: Annual General Meeting (AGM), Book Closure, Cut-off-Date and Dividend

We wish to inform you that the 97[th ] Annual General Meeting of the Company will be held on Friday, 27[th ] August, 2021 at 11 A.M. 1ST through Video Conferencing (VC) or Other Audio-Visual Means (OA VM) in accordance with Ministry of Corporate Affairs (MCA) General Circular No. 02/2021 dated 13[th ] January, 2021 read with MCA General Circular Nos. 14/2020, 17/2020 and 20/2020 dated 8[th ] April 2020, 13[th ] April 2020 and 5[th ] May 2020 respectively and Circular No. SEBI/HO/ CFD/CMD2 /CIR/P/2021/11 dated 15[th ] January, 2021 read with Circular No. SEBI/HO/ CFD/CMDl /CIR/P/2020/79 dated 12[th ] May, 2020 issued by the Securities and Exchange Board of India.

In compliance with the above-mentioned circulars, the Notice of the 97[th ] AGM and Annual report inter alia, containing the financial statements and other statutory reports for the year ended 31st March 2021 will be sent electronically to all the Members of the Company whose email addreGses are registered with the Company/Depository Participant(s).

The details such as manner of (i) registering / updating email addresses, (ii) casting vote through e-voting and (iii) attending the AGM through VC or OAVM will be set out in the Notice of the 97[th ] AGM.

The Company has fixed Friday, 20[t][h ] August, 2021 as the "Cut-off Date" for the purpose of determining the members eligible to vote on the resolutions set out in the Notice of the 97[th ] AGM or to attend the 97[th ] AGM.

Pursuant to Regulation 42 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, the Register of Members and the Share Transfer Registers of the Company, will remain closed from Saturday, 21[s][t ] August, 2021 to Friday, 27[th ] August, 2021 (both days inclusive) for the purpose of the 97[th ] AGM and payment of dividend.

The Board at its Meeting held on 26[th ] May, 2021 had recommended a Dividend of Rs. 2.80 (i.e., 280%) per equity share of Re 1/- each fully paid-up of the Company for the financial year ended on 3 p[t ] March, 2021 subject to approval of the Members at the 97[th ] AGM to be paid to those Members holding shares in physical form and whose names appear in the Register of Members as on 27[th ] August, 2021 and, holding shares in electronic form, to those whose names appear in the list of beneficial holders furnished by the respective Depositories as at the end of business hours on 20[th ] August, 2021.

Dividend on Equity Shares, if declared, at the 97[th ] AGM will be paid on Thursday, 9[th ] September, 2021 to those Members who are entitled thereto.
