Summary Information: About the acquisition of some shares of our Indirect Subsidiary Anadolu Rulman A.Ş.

It has been decided to purchase 61,500 shares of Anadolu Rulman İmalat Sanayi Tic. A.Ş. established in Turkey whose 90,70% of its belongs to our partnership and whose 100% owned by our Subsidiary company SC RULMENTI S.A. located in Romania.

In the Equity Appraisal Report prepared by SEHER Denetim YMM Ltd. Şti. Registered at Ankara CPA Chamber 06.07.2021 and numbered YMM-06103620-0325/2021-0017, the unit price that they have determined is TL 550.- referring to the Property and Machinery Equipment Assesment reports by Form Gayrimenkul Değerleme ve Danışmanlık A.Ş.

Taking the elements such as betterment and market share into consideration, it is decided to purchase the 61,500 shares with a price of TL 560 per unit at total TL 34,440,000.-,

The purchase price will be deducted primarily from the debts of SC RULMENTİ S.A. to Bera Holding A.Ş., and the balance will be paid in cash within one year.
