F1: Envision Solar International, Inc. (the "Company") granted Mr. Posawatz a restricted stock award of 30,000 shares which vest as follows so long as Mr. Posawatz is continuing to provide services to the Company: 15,000 of these shares vest 1/36 per month for three years and 15,000 will vest upon the achievement of certain performance criteria to be agreed upon by the Company's Board of Directors.

F2: The Company and Mr. Posawatz agreed to terminate 2,500 shares of restricted common stock that remain unvested as of October 1, 2019.

F3: The Company granted Mr. Posawatz a restricted stock award of 12,500 shares of common stock which vest over one year in four equal installments at the end of each quarter starting on December 31, 2019 so long as Mr. Posawatz is continuing to provide services to the Company.
