Subject: Outcome of Board Meeting No. 2/2024-25 under Regulation 30 of SEBI (LODR) Regulations, 2015

Pursuant to Regulation 30 of SEBI (LODR) Regulations, 2015 we wish to inform you that the Board of Directors at its meeting held today i.e. 31[st] July, 2024 have inter-alia considered and approved the following matters.

1. Subject to approval of the shareholders of the Company and based on the recommendation of the Nomination and Remuneration Committee, the appointment of Mr. Aditya Malkani (DIN: 01585637) as an Additional Director designated as a Non-Executive Independent Director on the Board of Directors of the Company for a term of five (5) years with effect from 31[st] July, 2024, not liable to retire by rotation (profile of Mr. Aditya Malkani is annexed in Annexure A)

In accordance with the circular dated 20th June, 2018 issued by the Stock Exchanges, we confirm that Mr. Aditya Malkani is not debarred from holding the office of director by virtue of any order passed by SEBI or any other such authority. Further, he is not related to any Director of the Company and satisfies the criteria of independence as prescribed under the Companies Act, 2013 and SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015

1. Approval to conduct Postal Ballot for following matters:

2. a. Appointment of Mr. Aditya Malkani (DIN: 01585637) as an Additional Director designated as a Non-Executive Independent Director on the Board of Directors of the Company for a term of five (5) years with effect from 31[st] July, 2024.

3. The Board of Directors noted that second and final term of Mr. Subodh Bhargava (DIN: 00035672) and Mr. Ameet Hariani (DIN: 00087866) as Non- Executive Independent Director will be completed on 31[st] July, 2024 and consequently they will be ceased to be an Independent Director of the Company w.e.f. the closing of the business hours on 31[st] July, 2024. The Board of Directors and Management of the Company placed on record their deep appreciation for the contributions made by Mr. Subodh Bhargava and Mr. Ameet Hariani during his association with the Company over the years.

The Meeting commenced at 11.00 A.M. and concluded at 11:45 A.M.

He has prior experience in Marketing & Finance functions of MNCs in FMCG Industry. He is involved across varied functions ranging from corporate marketing & exports to strategic planning & new business initiatives across Ador Group of Companies. Outside of work Aditya’s interest lie in Golf, Tennis, Padel & Swimming.
