On November 14, 2012, Limited Brands, Inc. issued a press release setting forth its third quarter 2012 earnings. In addition, the press release provides earnings guidance for the fourth quarter of 2012 and updated guidance with respect to full year 2012 earnings. A copy of the press release is attached hereto as Exhibit 99.1 and is hereby incorporated by reference.

Item 8.01 Other Events

On November 14, 2012, Limited Brands, Inc. announced that its Board of Directors has authorized a new $250 million share repurchase program (which includes $49.6 million remaining under the previous $500 million program) and declared its regular dividend of $0.25 per share payable on December 10, 2012 to shareholders of record at the close of business on November 26, 2012.
