F1: Chatham Asset Management, LLC (the "Reporting Person") is the investment manager to Chatham Asset High Yield Master Fund, Ltd., a Cayman Islands exempted company ("Chatham Master Fund"), and other affiliated funds (collectively with Chatham Master Fund, the "Chatham Funds"). Anthony Melchiorre ("Mr. Melchiorre") is the managing member of the Reporting Person. As of March 28, 2019, Chatham Master Fund held 2,741,477 shares of common stock, $0.01 par value per share (the "Common Stock"), of the Twin River Worldwide Holdings, Inc. (the "Company"), and certain other affiliated funds held an aggregate of 3,037,295 shares of Common Stock. Pursuant to Reg. Section 240.16a-1(a)(2), the Reporting Person's and Mr. Melchiorre's beneficial ownership is limited to their pecuniary interest, if any, in such securities.

F2: The Reporting Person received 14,052 shares of Common Stock in exchange for common stock, $0.10 par value per share, of Dover Downs Gaming & Entertainment, Inc. ("Dover Downs"), in connection with a transaction in which a wholly-owned subsidiary of the Company merged with and into Dover Downs, with Dover Downs surviving the merger as a wholly-owned subsidiary of the Company (the "Merger"). In the Merger, each share of common stock of Dover Downs was converted into the right to receive 0.089872 shares of Common Stock of the Company, with cash in lieu of fractional shares. On the effective date of the Merger, the closing price of common of stock Dover Downs was $2.64 per share.
