Notification of Transactions of Persons Discharging Managerial Responsibilities or Connected Persons

Balfour Beatty plc (the "Company") was informed on 16 March 2017 by The Trustee of the Balfour Beatty Employee Share Ownership Trust (the "Trust") that the following Persons Discharging Managerial Responsibilities acquired, for nil consideration, the number of Ordinary Shares of 50p each ("Ordinary Shares") in the Company shown below against their names following the release on 16 March 2017 of conditional share awards made on 2 January 2015 and 11 June 2015, respectively, pursuant to one-off award agreements as part of their recruitment arrangements:

As previously announced on 5 January 2015, the award to Mr Quinn was made as compensation for an award that he forfeited on leaving his previous employer.  The award to Mr Harrison was, as previously announced on 15 June 2015, made as compensation for an award that he forfeited on leaving his previous employer.

Vesting of both awards was subject to share price targets that were fully disclosed in the Company's 2015 Directors' Remuneration Report, and which were tested at the end of 2016.  Full details of the performance targets relating to both awards will be provided in the Company's 2016 Directors' Remuneration Report.

Mr Quinn subsequently sold 211,852 Ordinary Shares at a price of 276.58p per Ordinary Share on 16 March 2017 solely to meet Income Tax and National Insurance obligations in respect of the award.

Mr Harrison subsequently sold 10,134 Ordinary Shares at a price of 276.58p per Ordinary Share on 16 March 2017 solely to meet Income Tax and National Insurance obligations in respect of the award.

Each of these transactions took place in Jersey, Channel Islands.

This notification is made under DTR Rule 3.1.4.

The relevant notifications set out below are provided in accordance with the requirements of Article 19 of the EU Market Abuse Regulation.
