AZIMUT AND BRZ GESTÃO DE PATRIMÔNIO JOIN FORCES TO GROW IN THE WEALTH MANAGEMENT SECTOR IN BRAZIL

Milan, 27 July 2016

Azimut, Italy's leading independent asset manager, acquired today, through its Brazilian sub-holding Azimut Brasil Wealth Management Holding S.A., the entire corporate capital of BRZ Gestão de Patrimônio, a local wealth management company with a proven track record on developing customized investment solutions for Brazilian private investors ("BRZ Patrimônio").

BRZ Patrimônio, which today manages around R\$ 500 mln (equivalent to approximately € 140 mln*) was founded in 2014 by BRZ Investimentos and a team of professionals (Luiz Rabello, Eliane Schutt, Meire Carneiro and Samuel Oliveira) with an average tenure of more than 20 years at international firms (such as Royal Bank of Canada, Santander, Merrill Lynch and GPS). The team - that has developed a strong business plan for the following years - will continue to be fully committed to grow the business in the long run and will participate to Azimut Brasil's key people shareholding structure.

Through this transaction Azimut continues to pursue its aim of building up a reference in the Brazilian Asset and Wealth Management industry, joining forces with local teams of portfolio/wealth managers and financial advisors of proven track record and reputation. To this end, it is envisaged that the team of BRZ Patrimônio will gradually merge with the team of financial advisors and wealth managers of Azimut Brasil Wealth Management, leveraging synergies under a unique brand.

Since the beginning of the year, two other teams of financial advisors (Atual Private and Momento) joined forces with Azimut Brasil Wealth Management Holding S.A.

The transaction, which is not subject to the approval by local authorities, involves a purchase price of around R\$ 4 million (around € 1.1 million*) and a mechanism of price adjustment depending on future results.

AZIMUT BRASIL E BRZ GESTÃO AVVIANO UNA PARTNERSHIP PER CRESCERE NELL'INDUSTRIA DEL WEALTH MANAGEMENT IN BRASILE

Milano, 27 luglio 2016

Azimut, il principale gruppo italiano indipendente nel risparmio gestito, ha completato oggi l'acquisizione, tramite la controllata Azimut Brasil Wealth Management Holding S.A., dell'intero capitale sociale di BRZ Gestão de Patrimônio ("BRZ Patrimônio"), una societá di wealth management brasiliana di comprovato track record nello sviluppo di strategie di investimento personalizzate per investitori privati brasiliani.

BRZ Patrimônio, che attualmente gestisce circa R\$ 500mn (equivalenti a circa €140mn *) é stata fondata nel 2014 da BRZ Investimentos e un gruppo di professionisti (Luiz Rabello, Eliane Schutt, Meire Carneiro e Samuel Oliveira) con mediamente oltre 20 anni di esperienza presso istituzioni internazionali (tra le quali Royal Bank of Canada, Santander, Merrill Lynch e GPS). Il team – che ha sviluppato un piano industriale che prevede una crescita significativa per i prossimi anni – continuerà ad essere impegnato nello sviluppo del progetto nel lungo termine e parteciperà allo schema di incentivazione azionaria previsto localmente.

Con questa operazione Azimut compie un altro passo importante nel progetto di crescita nell'industria della gestione del risparmio e consulenza finanziaria in Brasile attraverso partnership con team di gestori di portafogli e consulenti finanziari di comprovata reputazione e qualità. A tale proposito è previsto che il team di BRZ Patrimônio si inserisca gradualmente nel team di wealth manager e consulenti finanziari di Azimut Brasil Wealth Management, sviluppando sinergie sotto un unico brand.

Dall'inizio dell'anno, dopo le operazioni con Atual Partner e Momento, quella con BRZ Patrimônio è la terza operazione di consolidamento di team di wealth managers portata a termine in Brasile.

L'acquisizione, che non è soggetta all'approvazione delle autorità locali, prevede un prezzo di circa R\$ 4 mn (circa €1.1 mn) e un meccanismo di aggiustamento prezzo dipendente dai risultati futuri.
