NOTICE OF POSTAL BALLOT
Notice is hereby given that pursuant to the provisions of Sections 108 and 110 and other applicable provisions, if any, of the Companies Act, 2013 ("the Act") read with Rules 20 and 22 of the Companies (Management and Administration) Rules, 2014, General Circular Nos. 14/2020 dated April 8, 2020, 17/2020 dated April 13, 2020, 20/2021 dated December 8, 2021, 3/2022 dated May 5, 2022 and 11/2022 dated December 28, 2022, issued by the Ministry of Corporate Affairs ("MCA Circulars"), (including any statutory amendment(s), modification(s), variation(s) or re-enactment(s) thereto, for the time being in force and as amended from time to time) and Regulation 44 of the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015 ("the SEBI Listing Regulations"), the resolutions as set out in the postal ballot notice dated March 27, 2023 are proposed for approval of the members of Axis Bank Limited ("the Bank"), through postal ballot by way of voting through electronic means ("remote e-voting").
In accordance with the Act and MCA Circulars, the Bank has completed the dispatch of postal ballot notice on Wednesday, March 29, 2023, in electronic form only to those members who have registered their email address with their Depository Participant(s) ("DPs") or with KFin Technologies Limited, Registrars and Share Transfer Agent of the Bank ("KFintech") and whose names appear in the register of members / register of beneficial owners as received from the depositories as on Friday, March 24, 2023 ("cut-off date"). The said notice is also available on the websites of the Bank (https://www.axisbank.com/shareholders-corner/shareholders-information), National Securities Depository Limited (NSDL)(www.evoting.nsdl.com), National Stock Exchange of India Limited (www.nseindia.com) and BSE Limited (www.bseindia.com).
In accordance with the provisions of the MCA Circulars, the members can vote only through the remote e-voting process. A person whose name appears in the register of members/list of beneficial owners as on the cut-off date shall be entitled to vote through remote e-voting process on the resolutions as set out in the said postal ballot notice. Any person who is not a member as on the cut-off date, should treat this notice for information purpose only.
The Bank has engaged the services of NSDL as the agency to provide e-voting facility. The procedure for remote evoting is given in the said postal ballot notice.
The remote e-voting shall commence from Thursday, March 30, 2023 (9:00 A.M. IST) and remain open up to Friday, April 28, 2023 (5:00 P.M IST). Remote e-voting shall not be allowed beyond the said date and time and shall be forthwith disabled by NSDL. Once the vote on resolutions is cast by the member, the member shall not be allowed to change it subsequently or cast the vote again.
Members of the Bank, who have not yet registered their email address and mobile number, are requested to register the same immediately with their DPs in respect of shares held in electronic form and by communicating to KFintech at [email protected] in respect of shares held in physical form.
In line with the MCA Circulars, the Bank has enabled a process for members to register their email address with KFintech by providing the basic credentials which may be asked for verification during the process. The link for updating email address is: https://ris.kfintech.com/clientservices/mobilereg/mobileemailreg.aspx.
Alternatively, members may also send an email request addressed to [email protected] along with scanned copy of the request letter duly signed by the first shareholder, providing the email address, mobile number, self-attested copy of Permanent Account Number and client master copy in case shares are held in electronic form or copy of the share certificate in case shares are held in physical form, to enable KFintech to register your email address and to receive the postal ballot notice.
The Bank has appointed CS KVS Subramanyam, Practicing Company Secretary (Membership No. FCS 5400 and Certificate of Practice No. 4815) or failing him, CS Soumya Dafthardar, Practicing Company Secretary (Membership No. FCS 11754 and Certificate of Practice No. 13199) as the Scrutinizer to scrutinize remote e-voting process in a fair and transparent manner.
The result of the postal ballot will be declared within two working days of conclusion of remote e-voting process i.e. on or before Wednesday, May 3, 2023. These results will be communicated to the Stock Exchanges and will be uploaded on the website of the Bank at www.axisbank.com. The said results will also be displayed at the registered and corporate offices of the Bank.

એમસીએ પરિપત્રની જોગવાઈઓ અનસાર, સભ્યો માત્ર રિમોટ ઈ-વોટિંગ પ્રક્રિયા દ્વારા જ મત આપી શકશે. એ વ્યક્તિ કે જેમનું નામ કટ ઓફ ડેટના રોજ રજિસ્ટર ઓફ મેમ્બર્સ / લિસ્ટ ઓફ બેનિફિશિયલમાં જોવા મળશે તેઓ જ ઉક્ત પોસ્ટ બેલેટ નોટિસમાં સેટ ખરડાઓ અંગે રિમોટ ઈ-વોટિંગ પ્રક્રિયા દ્વારા મત આપવા ચોગ્ય ગણાશે. કોઈ વ્યક્તિ કે જે કટ ઓફ ડેટના રોજ સભ્ય નથી તેમણે આ નોટિસ માત્ર માહિતીના હેતુથી જ ધ્યાને લેવાની રહે છે.
બેંક દ્વારા રિમોટ ઈ-વોટિંગ સુવિધા પુરી પાડવા માટે કેફિનટેકને કામગીરી સોંપાઈ છે. રિમોટ ઈ-વોટિંગ માટેની પ્રક્રિયા ઉક્ત પોસ્ટ બેલેટ નોટિસમાં આપેલ છે.
રિમોટ ઈ-વોટિંગનો 30 માર્ચ, ૨૦૨૩ના રોજ ગુરૂવારે પ્રારંભ (સવારે ૯.૦૦ કલાક) થશે અને તે ૨૮ એપ્રિલ, ૨૦૨૩ના રોજ શુક્રવારે (સાંજે ૫.૦૦ કલાક) સુધી ચાલુ રહેશે. રિમોટ ઈ-વોટિંગ ઉક્ત તારીખ અને સમચ પછી કરવા દેવાશે નહી અને રિમોટ ઈ-વોટિંગ સુવિધા ત્યારબાદ કેફિનટેક દ્વારા બંધ કરી દેવાશે. એકવાર સભ્ય ખરડાઓ અંગે પોતાનો મત આપી દેશે પછી સભ્ય તે મત બદલી શકશે નહીં અથવા કરી મત આપી શકશે નહીં.
બેંકના સભ્યો કે જેમણે પોતાના ઈમેઈલ એડ્રેસ અને મોબાઈલ નંબરોની નોંધણી કરાવી નથી તેમને વિનંતી છે કે તેઓ તેની નોંધણી જો .
તેમના શેર ઈલેક્ટ્રોનિક સ્વરૂપે હોચ તો તેમના ડીપી સાથે અથવા ફિઝિકલ સ્વરૂપે હોચ તો કેફિનટેકને [email protected] પર જાણ કરીને તાત્કાલિક કરાવી લેવા.
એમસીએ દ્વારા ઈસ્યુ કરાચેલા પરિપત્રને સંલગ્ન રહીને, બેંક દ્વારા પોસ્ટલ બેલેટ મેળવવાના મર્ચાદિત હેતુ માટે તેમના ઈમેઈલ એડ્રેસ નોંધણી કરવાની પ્રક્રિયા શરૂ કરવામાં આવી છે, જે પ્રક્રિયા દરમિયાન ચકાસણી માટે કેફીનટેક સાથે મૂળભૂત ઓળખપત્રો પૂછવામાં આવી શકે છે. કામચલાઉ ધોરણે ઈમેઈલ એડ્રેસ અપડેટ કરવા માટે લિન્કઃ https://ris.kfintech.com/clientservices/ mobilereg/mobileemailreg.aspx &.
આ ઉપરાંત, સભ્યો પોતાનો અનુરોધ ઈમેઈલ દ્વારા [email protected] પર રિક્વેસ્ટ લેટર પર પ્રથમ શેરધારકના ચોગ્ચ રીતે હસ્તાક્ષર સાથે, તેમના ઈમેઈલ એડ્રેસ, મોબાઈલ નંબર, પાન અને જો શેર ઈલેક્ટ્રોનિક સ્વરૂપમાં હોચ તો ક્લાચન્ટ માસ્ટર કોપી અથવા ફિઝિકલ સ્વરૂપમાં હોચ તો ફિઝિકલ શેર સર્ટીફિકેટની સ્કેન કરેલી કોપી સાથે મોકલી શકે છે કે જેથી કેફિનટેક તેમના ઈમેઈલ એડ્રેસ ઉપર જણાવ્યા પ્રમાણે હંગામી ધોરણે નોંધી શકે, જેનાથી ઉપર જણાવ્યા પ્રમાણે, ઈલેક્ટ્રોનિક સ્વરૂપમાં પોસ્ટલ બેલેટ નોટિસ પ્રાપ્ત કરી શકાય.
બેંક દ્વારા સીએસ કેવીએસ સુબ્રહ્મણ્યમ, પ્રેક્ટિસિંગ કંપની સેક્રેટરી (મેમ્બરશીપ નં. એફસીએસ ૫૪૦૦ અને સર્ટિફિકેટ ઓફ પ્રેફટિસ નં. ૪૮૧૫) તરીકે નિચુક્ત કર્યા છે અથવા તેઓની અવેજીમાં સીએસ સૌમ્ય દાફ્થારદાર, પ્રેક્ટિસિંગ કંપની સેક્રેટરી (મેમ્બરશીપ નં. એસીએસ ૧૧૯૫૪ અને સર્ટિફિકેટ ઓફ પ્રેક્ટિસ નં. ૧૩૧૯૯) ને સ્કૂટિનાઈઝર તરીકે નિયુક્ત કર્યા છે કે જેથી રિમોટ ઈવોટિંગ પ્રક્રિયા પારદર્શી અને ચોગ્ય રીતે હાથ ધરી શકાય.
